1. Scope

Navitech Systems SRL, headquartered in Romania, operates the digital platform available at https://assistantcallie.com (the “Platform”), which provides access to a voice-based AI agent software (“Software”) used for automating phone calls and managing customer interactions.

These terms govern the relationship between Assistant Callie and the user of the services (the “User”).

The services are intended exclusively for professionals: legal entities or authorized individuals (e.g., PFA, II, IF in Romania).

Any contrary or supplementary terms proposed by the User apply only if expressly accepted in writing by Assistant Callie.

2. Purpose of the Agreement

Assistant Callie provides access to the Software in a Software-as-a-Service (SaaS) model, through an account created on the Platform.

Users can choose subscription plans based on usage volume and desired features, as displayed on https://assistantcallie.com/pricing.

3. Formation of the Contract

The contract is deemed concluded when the User:

• creates an account on the Platform;

• selects a subscription plan;

• provides billing and payment information;

• receives confirmation of account activation via email or through the Platform.

4. Rights of Use

4.1 Standard Use

The User is granted a limited, non-exclusive, non-transferable, and revocable license to use the Software for professional purposes, within the limits of the selected subscription plan.

4.2 White-label Use

For subscription plans that include white-label features, the User may use the Software under their own brand, without exclusivity. Assistant Callie retains full ownership of the source code and infrastructure.

The User is responsible for complying with applicable legislation in their relationship with their own customers.

5. Input and Output

“Input” means any content entered into the Software by the User (e.g., voice, commands, text). “Output” refers to the responses automatically generated by the AI agent.

Assistant Callie does not guarantee the full accuracy of the Output and is not liable for decisions made by the User based on such Output. The User is responsible for ensuring GDPR compliance and for obtaining any legally required consent from call recipients.

6. User Obligations

The User agrees to:

• use the Platform only for lawful purposes;

• keep their login credentials confidential;

• refrain from using the Software for spam, fraud, aggressive marketing, or violation of third-party rights;

• adhere to usage limits defined by their subscription;

• be liable for any damage resulting from misuse of the service, including by their collaborators or clients.

7. Fees and Payments

The User agrees to pay the monthly or annual subscription fee according to the chosen plan. Payments are made in advance and processed automatically through the integrated payment provider.

Failure to pay may result in account suspension or deactivation.

All prices are listed in euros or Romanian lei and do not include VAT unless explicitly stated otherwise.

8. Trial Period and Plan Changes

The Software may be used free of charge for a limited trial period. After the trial expires, if the User does not cancel their account, the paid plan will be automatically activated.

Upgrades take effect immediately; downgrades apply starting with the next billing cycle.

9. Intellectual Property Rights

All copyrights and related rights to the Software, interface, documentation, and technical infrastructure belong exclusively to Assistant Callie.

The User acquires no ownership rights to the Software, only a limited right of use in accordance with this agreement.

10. Confidentiality

Both parties agree to maintain the confidentiality of commercial, technical, and other information obtained during the use of the Platform, during and after the termination of the agreement.

11. Data Protection

Assistant Callie complies with data protection legislation, including Regulation (EU) 2016/679 (GDPR). For data processing performed through the Software, a Data Processing Agreement (DPA) is available upon request.

The User is the data controller for any data input into the Software, and Assistant Callie acts as the data processor.

12. Limitation of Liability

Assistant Callie is only liable for direct damages caused intentionally or by gross negligence. It is not liable for:

• indirect losses such as lost profits;

• errors in AI-generated Output;

• damages resulting from the User’s breach of these Terms.

13. Term and Termination

This agreement is valid for the duration of the active subscription and is automatically renewed unless terminated by the User with at least 30 days’ notice prior to renewal.

Assistant Callie may suspend or terminate access immediately if the User materially breaches their obligations.

14. Changes to the Terms

Assistant Callie reserves the right to modify these Terms, notifying the User by email or through the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms and Conditions are governed by Romanian law. Any disputes shall be settled by the competent courts of Bucharest, unless mandatory legal provisions state otherwise.
